Affiliate Agreement
This agreement is made on 24 October 2026 between Brightfold Software Ltd (the "Company") and Priya Raman (the "Affiliate").
1. Appointment
The Company appoints the Affiliate, on a non-exclusive basis, to refer new customers to the Brightfold scheduling app, on any paid plan. The Affiliate is an independent contractor and may not make commitments on the Company's behalf.
2. Tracking
The Company will give the Affiliate a unique referral link. A customer is credited to the Affiliate when they sign up within 60 days of last opening that link and have not used another affiliate's link since. The Company's tracking records decide which referrals are credited.
3. Commission
For each credited customer, the Affiliate earns 20% of every payment a referred customer makes, for the first 12 months after that customer's first payment. No commission is earned on taxes, on payments from the Affiliate's own accounts, or on customers the Company already had.
4. Payouts
Commission is held for 30 days so refunds can settle, then paid monthly, by the 15th, for commission earned in the month before last, by bank transfer or PayPal, once the balance reaches USD 50. Commission on a payment that is refunded or charged back is reversed. Each party is responsible for its own taxes.
5. Promotion rules
The Affiliate will not bid on the Company's name or trademarks in paid search, send unsolicited messages, post the link on coupon or cashback sites without written approval, or make claims about the product that the Company has not published.
6. Disclosure
The Affiliate will clearly disclose the affiliate relationship wherever the referral link appears, in the way the applicable advertising rules require.
7. Brand use
The Affiliate may use the Company's name and logo only as the Company provides them, and only to promote the product.
8. Term and ending
Either party may end this agreement with 14 days' written notice, or immediately for a breach of section 5 or 6. Commission earned before the end date is paid on the normal schedule, except commission from a breach.

About the Affiliate agreement template
An affiliate program pays partners for customers they bring: bloggers, creators, consultants and agencies who already talk to the people you want to reach. The agreement is what turns a referral link into a business relationship, so both sides know how a sale is counted and when money moves.
This template covers tracking by referral link and cookie, a commission rate and the period it applies to, a payout threshold and schedule, and a hold period so refunds and chargebacks do not have to be clawed back. It sets the promotion rules most programs need: no paid search on the brand name, no spam, no misleading claims, and a clear disclosure of the affiliate relationship, which advertising rules in most countries require.

How long should the tracking cookie last?
Thirty to ninety days is common. Longer windows suit products people consider for a while before buying; the agreement and your tracking must use the same number.
Is commission paid on refunded sales?
No. Section 4 holds commission until the refund window has passed and reverses commission on a payment that is refunded or charged back.
Do affiliates have to disclose the relationship?
Yes. Section 6 requires a clear disclosure wherever the link appears, which is what consumer protection and advertising rules expect in most markets.
