Consulting Agreement
This Consulting Agreement is made on 10 November 2026 between Kemi Adebayo Consulting (the "Consultant") and Lagos Fintech Hub Ltd (the "Client").
1. Engagement
The Client engages the Consultant for advising on the client's application for a payment service provider licence, including the compliance programme, policies and the regulator's questions (the "Engagement"), from 16 November 2026 to 28 February 2027. The Consultant will provide a gap assessment, a compliance policy pack, and support at two meetings with the regulator.
2. Independence
The Consultant is an independent contractor, decides how the Engagement is carried out, and is responsible for their own taxes and insurance.
3. Fees and expenses
Fees are charged on the basis of NGN 450,000 per day, estimated at 18 days, and will not exceed NGN 9,000,000 without the Client's written approval. The Client reimburses pre-approved travel and filing costs, at cost. The Consultant invoices monthly and the Client pays within 15 days.
4. Information and decisions
The Consultant relies on information the Client provides and is not responsible for errors caused by incomplete or inaccurate information. Decisions taken on the Consultant's advice remain the Client's.
5. Ownership
Reports and materials made for the Client belong to the Client once paid for. The Consultant keeps its methods, templates and know-how.
6. Confidentiality and non-solicitation
Each party keeps the other's confidential information private during and after the Engagement. Neither party will hire the other's staff who worked on the Engagement during it and for 12 months afterwards, without the other's consent.

7. Ending the Engagement
Either party may end this Agreement with 14 days' written notice. The Client pays for work done and expenses incurred up to the end date.
8. General
This Agreement is governed by the laws of the Federal Republic of Nigeria and may be signed electronically.

About the Consulting agreement template
A consulting agreement turns an accepted proposal into enforceable terms. Where a proposal sells the work, this contract protects both sides while it happens: the scope of advice, how fees and expenses are charged and capped, what the client receives, and who owns it.
It covers the issues specific to advice work. The consultant is independent and responsible for their own taxes. Reports and materials made for the client belong to the client once paid, while the consultant keeps their methods. Advice is given on the information the client provides, and decisions remain the client's. Do I need a consulting agreement if I already have a signed proposal?
For larger or longer engagements, yes. The proposal covers scope and price; the agreement adds the legal terms on liability, ownership, confidentiality and termination.
What is a non-solicitation clause?
A promise not to hire or poach the other party's staff for a period. It protects the client's team and the consultant's associates.
Should consulting fees be capped?
A cap on day-rate fees gives the client budget certainty. Work beyond the cap needs written approval, which protects the consultant from disputes about unexpected bills.
