About the Sales agreement template

A sales agreement records a sale of goods in writing, so that both sides agree on what is being sold, for how much, and on what terms before money or goods change hands. It matters most for larger orders, made-to-order goods and sales paid in instalments, where a misunderstanding about the specification, the delivery date or who carries the risk in transit is expensive to fix later.

This template covers the terms a sales contract usually needs: a precise description and quantity, the price with any deposit and the balance terms, delivery address, date and cost, when ownership and risk pass to the buyer, a short inspection period, the warranty and what happens with faulty goods, and the law that applies. Replace each blank with your own details and remove anything that does not apply.

Both parties sign at the end. With Salsox, the buyer signs from a link on their phone, and on the Business plan they can pay the deposit in the same step. For a step-by-step explanation of each clause, read our guide to what to include in a sales agreement.

Questions

What is the difference between a sales agreement and a purchase order?

A purchase order is the buyer's instruction to buy, often under terms agreed elsewhere. A sales agreement sets out the full terms of a sale and is signed by both sides, which suits larger or one-off sales.

Does a sales agreement need to be signed by both parties?

It should be. Both signatures show that buyer and seller agreed the same terms, which is what you will need if there is ever a dispute about price, delivery or quality.

When does ownership pass to the buyer?

When the agreement says it does. This template passes ownership on full payment and risk on delivery, which protects the seller until paid and the buyer once the goods are in their hands.
