Commercial Lease Agreement
This Lease is made on 12 November 2026 between Kingsway Properties Ltd (the "Landlord") and Kaya Coffee Company Ltd (the "Tenant").
1. Premises and use
The Landlord lets to the Tenant Unit 4, ground floor, Kingsway Plaza, Osu, Accra, about 85 square metres (the "Premises"), with the right to use the building's shared entrances and parking. The Tenant may use the Premises only as a cafe serving hot and cold drinks and light food.
2. Term
The Lease starts on 1 December 2026 and runs for three years.
3. Rent, service charge and review
Rent is USD 25,500 per year, paid quarterly in advance. The Tenant also pays a service charge of USD 1,700 per year, adjusted annually against actual costs. Rent will be reviewed at the start of the third year, by up to 8%.
4. Deposit
The Tenant will pay a deposit of USD 6,375, three months' rent on signing, returned at the end of the Lease less any amounts owed.
5. Fit-out and signage
The Tenant may carry out a fit-out during the first six weeks, rent-free, to plans the Landlord approves, acting reasonably. The Tenant may display signage at the shopfront with the Landlord's approval, and will remove it and make good at the end of the Lease.
6. Repairs
The Landlord will keep the structure, roof and shared areas in repair. The Tenant will keep the inside of the Premises, including fixtures it installs, in good repair and decoration.

7. Insurance and compliance
The Landlord insures the building. The Tenant insures its contents and holds public liability cover, and complies with all licences and regulations for its business.
8. Break clause
The Tenant may end the Lease at the end of the second year by giving six months written notice, provided rent is paid up to that date.

9. Assignment and governing law
The Tenant may not assign or sublet without the Landlord's written consent, not to be unreasonably withheld. This Lease is governed by the laws of Ghana.

About the Commercial lease agreement template
Business premises raise questions a home lease never does: what the tenant may use the space for, who pays for the building's shared costs, whether the tenant can fit out and put up signs, who repairs what, and whether either side can leave early. This template answers them for a small shop, office or workshop.
The key commercial terms are set out plainly: annual rent and how it is paid, a service charge reconciled to actual costs, a rent review date and cap, a rent-free fit-out period, a deposit, and a break clause that lets the tenant leave at a set point with notice. Repairs are split by location: the landlord keeps the structure and shared parts, the tenant the inside of the unit.

What is a break clause?
A right to end the lease early on a set date, with notice. It gives a growing or uncertain business a way out without breaking the lease.
Who pays for repairs in a commercial lease?
It depends on the lease. This template has the landlord repair the structure and common parts, and the tenant repair and decorate the inside of the unit.
What is a service charge?
The tenant's share of the cost of running the building: security, cleaning of shared areas, lighting and maintenance. It is usually estimated and then adjusted against actual costs each year.
