One-Way Non-Disclosure Agreement
This Non-Disclosure Agreement (the "Agreement") is made on 15 October 2026 between Adwoa Mensah Designs, of 7 Oxford Street, Osu, Accra (the "Discloser"), and Tunde Bakare, of 12 Admiralty Way, Lekki, Lagos (the "Recipient").
1. Purpose
The Discloser intends to share confidential information with the Recipient so that the Recipient can engage in quoting for the build of a mobile ordering app (the "Purpose"). The Recipient agrees to protect that information as set out below.
2. What is confidential
"Confidential Information" means all non-public information the Discloser shares with the Recipient, whether in writing, verbally, visually or electronically, including designs, plans, source code, business and financial information, customer and supplier details, and anything marked or described as confidential.
It does not include information that the Recipient can show is public through no fault of its own, was already known to it without restriction, was lawfully received from someone else without a duty of confidence, or was developed independently.
3. The Recipient's duties
The Recipient will:
- use the Confidential Information only for the Purpose;
- keep it secret and not disclose it to any third party without the Discloser's prior written consent;
- limit access to staff or advisers who need it for the Purpose and are bound by equivalent duties, and remain responsible for them;
- protect it with at least reasonable care; and
- tell the Discloser promptly of any unauthorised use or disclosure.
4. Disclosure required by law
If the law or a court requires disclosure, the Recipient will give the Discloser prompt written notice, where allowed, and disclose only the minimum required.
5. Return of information
When the Purpose ends, or whenever the Discloser asks, the Recipient will return or securely destroy all Confidential Information, including copies and notes, and confirm this in writing.
6. Duration and remedies
The Recipient's duties last for three years from the date above, and for trade secrets for as long as they remain secret. The Recipient accepts that a breach could cause harm that money alone cannot fix, and that the Discloser may seek an injunction in addition to any other remedy.
7. General
No licence or ownership passes to the Recipient. This Agreement is governed by the laws of Ghana, is the entire agreement on its subject, and may be signed electronically.

About the One-way NDA template
A one-way NDA is the simplest protection when only you are sharing. Typical moments: briefing a developer or agency before they quote, showing an investor your figures, or opening your books to someone thinking of buying the business.
The obligations fall on the recipient alone. They may use what you show them only for the purpose you name, must keep it from anyone who does not need it, and must give it back or destroy it when you ask. A remedies clause records that a leak may need an injunction, not just damages, which is what makes an NDA worth having.
It does not stop anyone competing with you using their own knowledge, and it should not try. Keep the purpose specific and the duration realistic. Send it through Salsox before the meeting so it is signed before anything is shared.

Questions
Who signs a one-way NDA?
Both parties usually sign. The receiving party's signature is the one that creates the obligation, but the disclosing party's signature confirms the terms it is relying on.
Can I use this NDA with a freelancer?
Yes. It is a common choice before briefing a freelancer or agency. If they will also create work for you, add confidentiality and ownership terms to the freelance contract itself.
Does an NDA stop someone from competing with me?
No. An NDA restricts the use and disclosure of your confidential information. It does not prevent the other party from working in your market using their own knowledge.
