Consignment Agreement
This agreement is made on 24 October 2026 between The Linen Room (the "Shop") and Maria Okafor (the "Consignor").
1. Items
The Consignor places 18 handmade ceramic pieces, listed with prices on the attached inventory sheet (the "Items") with the Shop for sale. Both parties have initialled the inventory sheet, which records each Item's condition and agreed price.
2. Ownership
The Consignor owns each Item until it is sold. The Items are not the Shop's property and are not available to the Shop's creditors.
3. Sale and pricing
The Shop will display the Items and sell them at the agreed prices. It will not sell below those prices without the Consignor's consent, except that after 60 days, the shop may reduce a price by up to 20% with the consignor's approval by email.
4. Commission
The Shop keeps 40% of the sale price on each Item sold. Card fees are paid by the Shop.
5. Payment
The Shop pays the Consignor's share on the 5th of each month, for items sold in the previous month, with a statement listing each Item sold, its sale price and the commission kept.
6. Care of the Items
The Shop will take reasonable care of the Items. If an Item is lost, stolen or damaged while in the Shop's care, the Shop pays the Consignor the share they would have received at the agreed price.
7. Period and unsold Items
The Items stay in the Shop for 90 days. The Consignor will collect unsold Items within 14 days after that. Items not collected 30 days after a written reminder may be donated to charity.
8. Ending early
Either party may end this agreement with 7 days' written notice. Sales made before the end are paid as normal, and the Consignor collects the remaining Items.

About the Consignment agreement template
Consignment lets a maker, reseller or private seller place goods in a shop without selling them to the shop first. The shop displays and sells the items and keeps a commission; the consignor still owns them until they sell, and takes back whatever does not.
This template lists the items and their agreed prices, sets the shop's commission and how long items stay on display, says when the consignor is paid, and decides who bears loss or damage while items are in the shop. It also covers price reductions late in the period and how unsold items are collected, which is where most consignment disputes start.
Attach an inventory sheet listing each item, its condition and its price, and have both parties initial it.

Questions
Who owns the goods while they are in the shop?
The consignor, until an item is sold. Section 2 says so, which matters if the shop closes or has debts.
What if an item is stolen or damaged in the shop?
Under section 6 the shop is responsible while items are in its care and pays the consignor their share of the listed price.
What happens to items that do not sell?
The consignor collects them at the end of the period. Items left more than 30 days after a written reminder may be donated, as section 7 says.
