Partnership Agreement

This Partnership Agreement is made on 4 November 2026 between Akwasi Mensah and Dede Ofori (the "Partners").

1. The partnership

The Partners carry on business together as Mensah and Ofori Architects, in architectural design and project supervision, from 18 Ring Road Central, Accra.

2. Contributions

Akwasi Mensah contributes GHS 60,000 in cash and design software licences. Dede Ofori contributes GHS 60,000 in cash and the lease of the office. Contributions are recorded in each Partner's capital account and do not earn interest.

3. Profits and losses

Profits and losses are shared 50% each. Each Partner may draw GHS 9,000 each, adjusted at each year-end on account of profit.

4. Roles

Akwasi Mensah leads design and client relationships. Dede Ofori leads project supervision, finance and staff. Each Partner will work in the business in good faith and will not run a competing business.

5. Decisions

Day-to-day decisions are made by the Partner responsible. The agreement of all Partners is needed to borrow money, admit a new partner, spend more than GHS 20,000 on a single item, or sell the business.

6. Accounts

The Partners keep proper accounts, open to each Partner at any time, prepared to 31 December each year.

7. Leaving the partnership

A Partner may leave by giving six months written notice. The remaining Partners may buy the leaving Partner's share at a value set by an independent accountant's valuation of the business at the exit date, paid over 12 months in equal monthly instalments.

The Partners will try to settle any dispute by mediation before going to court. This Agreement is governed by the laws of Ghana.

About the Partnership agreement template

Partnerships usually start on trust and end on paper. The time to agree how profits are split, who can sign for the business, and what happens if one partner leaves is at the start, when everyone is getting on well.

This template records each partner's contribution, the profit split, who is responsible for what, and which decisions need everyone's agreement: borrowing, taking on a new partner, spending over a set limit, or selling the business. It sets monthly drawings against profits, keeps proper accounts, and gives each partner access to them.

The exit clause is the most valuable part. It sets the notice a leaving partner gives, how their share is valued (by an independent accountant, not by argument), and how it is paid, so the business is not crippled by a departure. A mediation step comes before any court. Every partner signs and initials the exit clause.

Questions

Do partners need a written agreement?

The law in many countries supplies default rules for partnerships without one, usually equal shares and unlimited joint responsibility. A written agreement lets you choose your own rules.

Is a partnership the same as a company?

No. A general partnership is usually not a separate legal person, and partners can be personally responsible for its debts. Many businesses form a limited company or limited liability partnership instead; take advice.

What happens if a partner wants to leave?

This template requires notice, values the leaving partner's share independently, and pays it out over a set period, so the business can continue.
