Service Agreement

This Service Agreement is made on 2 November 2026 between SecureNet IT Services Ltd, of 45 Kanda Highway, Accra (the "Provider"), and Harmony Dental Clinics Ltd, of 12 Oxford Street, Osu, Accra (the "Client").

1. Services

The Provider will provide managed IT support for three clinics: help desk, device management for 35 computers, network monitoring, and daily cloud backup of practice records (the "Services"), with reasonable skill and care and in line with good industry practice.

2. Service levels

The Provider will meet these service levels: help-desk response within one hour during clinic hours (07:30 to 19:00, Monday to Saturday), and on-site attendance within four hours for an outage. The Provider will report monthly on how they were met.

3. Term

This Agreement starts on 1 December 2026 and runs for an initial term of 12 months. It then continues until either party ends it under clause 8.

4. Fees and payment

The Client will pay GHS 8,750 per month, plus GHS 350 per hour for project work outside the services, agreed in advance. The Provider invoices monthly in advance and the Client pays within 14 days. Fees may be reviewed once a year with 60 days' notice.

5. Client responsibilities

The Client will give the Provider timely access to premises, systems and people the Services need, and a named contact for day-to-day decisions.

6. Data protection and confidentiality

Where the Provider handles personal data for the Client, it will do so only on the Client's instructions, keep it secure, and report any breach without delay. Each party keeps the other's confidential information private.

7. Liability

Neither party is liable for indirect or consequential loss. Each party's total liability under this Agreement is limited to the fees paid in the 12 months before the claim, except for liability that cannot be limited by law.

About the Service agreement template

A service agreement is the backbone contract for most B2B relationships: IT support, cleaning, bookkeeping, maintenance, security, training. It describes what the provider does, to what standard, and on what commercial terms, and it is the document both sides return to when something goes wrong.

This template keeps the essentials and the clauses that matter when they are tested: a precise description of the services, measurable service levels, fees with a rate for extra work, payment terms, an initial term that then continues, a cap on liability tied to fees, data protection for any personal data the provider handles, and termination with notice or immediately for serious breach.

Service levels are what distinguish a good service agreement from a vague one. Write them as response and fix times the client can check. Both parties sign through Salsox; each initials the liability clause.

Questions

What is the difference between a service agreement and a statement of work?

A service agreement sets the overall terms of an ongoing relationship. A statement of work describes one project under it. Ongoing services often need only the agreement.

What are service levels?

Measurable commitments such as response times, fix times or uptime. They let both sides see whether the service is being delivered as agreed.

Why limit liability?

Without a cap, a provider could owe far more than the contract is worth after a single incident. A cap tied to fees is common and usually considered fair.
