Freelance Services Agreement
This Agreement is made on 16 October 2026 between Akosua Frimpong Design, of 11 Ridge Close, Accra (the "Freelancer"), and Harvest Table Restaurants Ltd, of 4 Cantonments Road, Accra (the "Client").
1. Services and deliverables
The Freelancer will provide design of a five-page restaurant website: home, menu, about, bookings and contact, with mobile layouts (the "Services"). Deliverables: page designs in Figma, an exported asset pack, and a style guide PDF. Anything not listed is outside the scope and will be quoted separately before any work starts.
2. Timeline
Work starts on 20 October 2026 and final deliverables will be delivered by 21 November 2026, provided the Client supplies the menu, photography and brand files by 24 October 2026 and gives consolidated feedback within three working days of each delivery. Delays in Client feedback move the delivery date by the same amount.
3. Revisions
The fee includes two rounds of revisions. Further revisions, or changes after approval, are charged at GHS 450 per hour.
4. Fees and payment
The total fee is GHS 12,000. A non-refundable deposit of 40%, GHS 4,800 is due on signing, and work begins once it is received. The balance is due on delivery, within 14 days of invoice. Late payments may incur interest of 1.5% per month, or the maximum the law allows if lower.
5. Ownership
When the Client has paid all fees, the Freelancer transfers ownership of the final deliverables to the Client. The Freelancer keeps their pre-existing tools and working files, and may show the work in their portfolio unless the Client asks otherwise in writing.
6. Independent contractor and confidentiality
The Freelancer is an independent contractor, responsible for their own taxes, equipment and hours. Both parties will keep each other's confidential information private.
7. Cancellation and liability
Either party may end this Agreement with seven days' written notice; the Client pays for work done to that date and the deposit is not refunded. The Freelancer's total liability is limited to the fees paid. This Agreement is governed by the laws of Ghana.

About the Freelance contract template
Most freelance disputes come from three gaps: what was included, how many changes the price covered, and when the money was due. This contract closes all three before the work starts.
Scope is a list of deliverables, not a description of effort, and anything outside it is quoted separately. Revisions have a number and a rate beyond it. The deposit is due on signing and work starts when it lands; the balance follows delivery on fixed terms, with interest if it is late. Ownership passes to the client when they have paid in full, which protects you without making the client feel exposed, and you keep the right to show the work in your portfolio.

Should I take a deposit before starting?

Who owns the work under a freelance contract?
Unless the contract says otherwise, the freelancer often keeps copyright in many countries. This template transfers ownership once the client has paid in full, a common and fair compromise.
