Subcontractor Agreement

This Agreement is made on 20 November 2026 between Solid Ground Builders Ltd (the "Contractor") and Sparkline Electrical Services (the "Subcontractor").

1. Subcontract works

The Subcontractor will carry out complete electrical installation: wiring, distribution board, sockets, lighting points, and testing, to drawings E-201 to E-205 (the "Subcontract Works") on the four-bedroom house at Plot 21, Oyarifa Hills, Accra (the "Project"), to the standard of workmanship and materials the Contractor's main contract requires.

2. Price and payment

The subcontract price is GHS 74,000, fixed. Payment is by monthly valuations of work completed, less 5% retention, paid within 21 days of each valuation. Retention is released when the Subcontractor's defects are made good at the end of the defects period.

3. Programme

The Subcontractor will start on 15 March 2027 and finish by 30 April 2027, coordinating with other trades as the Contractor directs.

4. Variations

The Subcontractor carries out changes only on the Contractor's written instruction, which states the price or how it will be valued. Unauthorised extras will not be paid.

5. Site rules and safety

The Subcontractor will follow the Contractor's site rules and safety plan, work during 07:00 to 17:00, Monday to Saturday, provide trained and equipped workers, and keep its work areas clean.

6. Insurance

The Subcontractor will hold public liability cover of at least GHS 500,000 and employer's liability as required by law and give proof before starting.

7. Defects and flow-down

The Subcontractor will make good defects in the Subcontract Works during 12 months from completion of the main project, and accepts the obligations of the main contract that apply to the Subcontract Works.

8. Subcontracting, termination and law

The Subcontractor may not subcontract any part of the work without the Contractor's written consent. The Contractor may end this Agreement for serious breach not remedied within seven days of notice. This Agreement is governed by the laws of Ghana.

About the Subcontractor agreement template

A main contractor stays responsible to the client for every trade on site, so each subcontract has to pass the right obligations down. This template does that: the subcontractor works to the drawings and programme, follows the main contractor's site rules and safety plan, and accepts the same defects period the main contractor gave the client.

Commercial terms are kept clear. The price is fixed for the defined works; payment follows monthly valuations of work actually done, less a retention released after defects are made good. Variations need a written instruction from the main contractor, so a site conversation does not become a disputed extra. The subcontractor provides proof of insurance before starting, cannot further subcontract without consent, and keeps the site clean.

Payment terms that protect subcontractors are required by law in some countries; check local rules. Both parties sign through Salsox before the trade arrives on site.

Questions

What is a flow-down clause?

A clause that passes relevant obligations from the main contract down to the subcontractor, such as quality standards, programme and defects responsibility, so the main contractor is not left exposed.

How are subcontractors usually paid?

Often by monthly valuation of work done, less a retention, as in this template. Smaller jobs may use stage payments or a single payment on completion.

Can a subcontractor subcontract the work?

Not without the main contractor's written consent, under this template. The main contractor needs to know who is on its site.
