Independent Contractor Agreement
This Agreement is made on 6 November 2026 between Fieldwire Agritech Ltd, of 56 Independence Avenue, Accra (the "Company"), and Ibrahim Sule, of Block C, Nyohini, Tamale (the "Contractor").
1. Services and term
The Contractor will provide building and testing the Android version of the farmer payments app, to the specification in the shared requirements document (the "Services") from 10 November 2026 to 30 April 2027, unless ended earlier under clause 8.
2. Independence
The Contractor is an independent contractor and not an employee. The Contractor decides how, when and where the Services are performed, provides their own equipment, may work for other clients, and is not entitled to employee benefits.
3. Fees and invoicing
The Company will pay GHS 320 per hour. The Contractor will invoice every two weeks with a record of time and work done, and the Company will pay each correct invoice within 14 days.
4. Expenses
The Company will reimburse reasonable expenses up to GHS 1,000 a month without prior approval, against receipts.
5. Taxes
The Contractor is responsible for their own income tax, social security and any registration their business requires.
6. Work product
Everything the Contractor creates for the Company under this Agreement belongs to the Company once paid for, and the Contractor assigns all rights in it to the Company. The Contractor keeps their pre-existing tools and know-how.
7. Confidentiality
The Contractor will keep the Company's confidential information secret during and after this Agreement, and return or delete it when the Agreement ends.
8. Ending the Agreement
Either party may end this Agreement with 14 days' written notice, or immediately for a serious breach. The Company pays for Services performed up to the end date.
9. General
This Agreement is governed by the laws of Ghana, is the entire agreement on its subject, and may be signed electronically.

About the Independent contractor agreement template
Engaging a contractor is different from hiring an employee, and the contract should show it. Labour and tax authorities in many countries look at the substance: who controls how the work is done, who supplies equipment, whether the person can work for others, and how they are paid. This agreement is written so the answers point to independence.
The contractor controls their own methods and hours, uses their own equipment, may work for other clients, invoices on a regular cycle, and handles their own tax. The business gets what it needs in return: clear services and dates, ownership of everything made for it, confidentiality, and the right to end the engagement on short notice.
A contract alone does not decide status; how the relationship works in practice does. If the contractor ends up working like an employee, take advice.
