Non-Solicitation Agreement
This agreement is made on 24 October 2026 between Pinecrest Digital Ltd, of Unit 4, 12 Canal Street, Manchester M1 3HE, United Kingdom (the "Company"), and Oliver Grant (the "Individual"), in connection with the Individual's employment as Senior Account Director (the "Relationship").
1. Definitions
Restricted Client means any person or business that was a client of the Company during the 12 months before the relationship ends, and with whom the Individual dealt, or about whom the Individual received confidential information, during that time.
Restricted Staff means any of the Company's account managers, designers and developers with whom the Individual worked or whom the Individual managed during the 12 months before the relationship ends.
2. Clients
For 12 months after the Relationship ends, the Individual will not, directly or through anyone else, solicit or deal with any Restricted Client for the purpose of providing services that compete with the Company's.
3. Staff
For the same period, the Individual will not, directly or through anyone else, solicit or encourage any Restricted Staff to leave the Company. This does not apply to general job advertisements not aimed at the Company's staff, or to hiring someone who responds to one without having been approached.
4. What remains free
Nothing in this agreement stops the Individual from working in any role, for any employer, including a competitor, as long as sections 2 and 3 are respected.
5. Reasonableness
Both parties consider these restrictions reasonable to protect the Company's client relationships and workforce. If a court finds any of them wider than necessary, the parties intend them to apply in the narrower form the court will enforce.
6. Governing law
This agreement is governed by the law of England and Wales.

About the Non-solicitation agreement template
A non-solicitation agreement protects two things a business builds slowly: its client relationships and its team. The person who signs it promises that for a period after leaving, they will not approach clients they worked with to take their business elsewhere, and will not recruit the company's staff away. Unlike a non-compete, it does not stop them from working for a competitor or in their field.
That narrowness is why courts are generally more willing to enforce it. This template limits the restriction to clients the person actually dealt with, or whose information they saw, in a set period before leaving, and to staff they worked with or managed. It allows clients and staff who approach the person independently, for example by answering a public job advert.
The restricted period should match how long the relationships would take to settle with a successor. Twelve months is common for senior client-facing roles; shorter is safer for junior ones. Check the rules where the person works, especially for contractors and for roles in regulated industries.

Questions
How is this different from a non-compete?
A non-compete stops someone from working for a competitor. A non-solicitation agreement lets them work anywhere but stops them from pursuing your clients and staff. It is narrower, and more often enforceable.
Does it cover clients who contact the person first?
This template restricts soliciting and dealing with restricted clients, so it covers business they bring even if the client calls first. Remove the word 'deal' if you want it to cover only approaches the person makes.
Can it be used with contractors?
Yes. Describe the contract in the relationship field. Contractor restrictions are judged on the same reasonableness test, so keep them proportionate to the work.
