Mutual Non-Disclosure Agreement

This Mutual Non-Disclosure Agreement (the "Agreement") is made on 15 October 2026 between Kente Analytics Ltd, of 14 Liberation Road, Accra, Ghana ("Party A"), and Northbridge Logistics Inc., of 220 Harbor Street, Boston, MA 02110 ("Party B"). Each is a "Party". The Party sharing information is the "Discloser" and the Party receiving it is the "Recipient".

1. Purpose

The Parties wish to share confidential information with each other for the purpose of evaluating a joint route-optimisation product for West African freight operators (the "Purpose"). This Agreement sets out how that information will be protected.

2. Confidential Information

"Confidential Information" means any information disclosed by one Party to the other, in any form, that is marked confidential or that a reasonable person would understand to be confidential, including business plans, pricing, customer lists, financial information, technical data, product plans and know-how.

It does not include information that the Recipient can show (a) is or becomes public through no fault of the Recipient; (b) was already lawfully known to the Recipient before disclosure; (c) is lawfully received from a third party without a duty of confidentiality; or (d) is independently developed without use of the Discloser's information.

3. Obligations

Each Recipient will use the Confidential Information only for the Purpose; disclose it only to its employees, officers and professional advisers who need to know it for the Purpose and are bound by duties at least as strict as these; and protect it with at least the care it uses for its own confidential information, and never less than reasonable care.

4. Required disclosure

A Recipient may disclose Confidential Information if required by law or a court, provided it gives the Discloser prompt written notice where legally allowed and discloses only what is required.

5. Return or destruction

On written request, or when the Purpose ends, the Recipient will return or destroy the Discloser's Confidential Information and confirm in writing that it has done so, except copies it must keep by law.

6. Term

This Agreement lasts two years from the date above. Obligations for information disclosed during the term continue for three years after it ends, and for trade secrets for as long as they remain trade secrets.

7. General

No licence in any Confidential Information is granted, and neither Party is obliged to enter into any further agreement. This Agreement is governed by the laws of Ghana, is the entire agreement on its subject, and may be signed electronically and in counterparts.

About the Mutual NDA template

A mutual NDA protects both sides at once. Use it before a partnership meeting, a technical deep dive or due diligence, whenever each party will show the other something it would not want repeated: pricing, customer lists, product plans or source code.

This template keeps the parts that matter in practice. It defines confidential information broadly but carves out what was already public or independently developed, limits use to the purpose you name, allows disclosure to advisers who are bound by the same duties, and keeps trade secrets protected for as long as they stay secret. Name the purpose precisely: "evaluating a joint product for freight operators" is enforceable in a way "business discussions" is not.

Both parties sign at the end. With Salsox, each signer gets a link, signs on their phone, and both receive the sealed PDF with its audit trail.

Questions

When should I use a mutual NDA instead of a one-way NDA?

Use a mutual NDA when both parties will disclose confidential information, such as two companies exploring a partnership. If only you are sharing, a one-way NDA is simpler and protects you just as well.

How long should confidentiality last?

Two to five years is common for business information. Trade secrets are often protected for as long as they remain secret, which is why this template treats them separately.

Is an electronically signed NDA binding?

In most countries, including the US, UK, EU member states, Ghana and Nigeria, an electronic signature is legally valid for an agreement like an NDA. Check the rules where you operate if you are unsure.
